B3OS Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and NPC Labs, Inc. ("NPC Labs," "we," "us," or "our") governing your access to and use of B3OS, an onchain automation platform, including all related services, APIs, MCP servers, and applications (collectively, the "Services") accessible at b3os.org.
By creating an account, accessing, or using the Services, you agree to be bound by these Terms, our Privacy Policy, and our Acceptable Use Policy (collectively, the "Agreement"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICES.
2. Eligibility
By using the Services, you represent and warrant that you: have the legal capacity (including, without limitation, being of sufficient age) to enter into a binding agreement; are not located in, or a resident of, any country subject to a comprehensive U.S. embargo or designated as a "terrorist-supporting" country by the U.S. government; and are not listed on any U.S. government list of prohibited or restricted parties, including the OFAC Specially Designated Nationals and Blocked Persons List.
3. Account Registration and Security
To use the Services, you must create an account and, if applicable, establish an organization. You agree to provide accurate, current, and complete information during registration and to keep this information updated.
You are responsible for maintaining the confidentiality of your account credentials, API keys, and wallet access. You are solely responsible for all activity that occurs under your account or organization, whether or not you authorized it. You must notify us immediately of any unauthorized access or security breach. You may not share account credentials or allow multiple individuals to use a single-user account.
Each organization maintains shared resources including wallets, workflows, integrations, and databases. Organization administrators are responsible for managing member access and permissions.
4. Description of Services
B3OS is an onchain automation platform that enables users to create, deploy, and manage automated workflows across blockchain networks and third-party applications. The Services include: a visual workflow builder for creating automation logic; an AI-powered assistant ("Caddie") for generating and modifying workflows; wallet creation and management via Turnkey infrastructure; execution of onchain transactions across supported blockchain networks; integration with 100+ third-party applications and protocols; workflow templates for common automation patterns; database services for workflow data storage; APIs and MCP servers for programmatic access; and subscription billing and compute credit management.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice. The Services are provided without any uptime guarantee or service level agreement unless separately agreed in an Enterprise order form. NPC Labs shall not be liable for any losses arising from Service unavailability, including missed transaction opportunities.
4.2 Beta and Experimental Features
Certain features may be designated as beta, preview, or experimental. These features are provided "as is" without warranty, may be unstable, and may be modified or discontinued without notice. Your use of beta features is at your own risk, and the limitation of liability provisions in Section 13 apply with additional force to beta features.
4.3 APIs and Programmatic Access
Access to B3OS APIs and MCP servers is subject to rate limits, authentication requirements, and usage policies as documented at docs.b3.fun. We reserve the right to throttle, suspend, or revoke API access for excessive use, abuse, or violations of these Terms. You may not use automated means to exceed documented rate limits or circumvent access controls.
5. Wallet Services and Financial Transactions
5.1 Non-Custodial Wallet Infrastructure
B3OS facilitates the creation of organizational wallets through our infrastructure partner, Turnkey. NPC Labs is NOT a custodian. Turnkey is a non-custodial wallet infrastructure provider. Wallets are associated with your organization, not individual users. You may also import existing wallets (with client-side encryption via Turnkey) or connect external smart wallets via session keys.
You acknowledge and agree that: wallets are generated and stored in Turnkey's Trusted Execution Environment (TEE); NPC Labs never has access to unencrypted private keys; you can export private keys or mnemonics at any time via Turnkey's client-side export, which uses P256 keypair encryption decrypted in an isolated iframe; once exported, Turnkey flags the wallet as "Exported" and can no longer guarantee its security; smart wallet session keys are scoped, time-limited, and subject to on-chain enforcement; you are solely responsible for the security of your wallets and the funds held within them; you are responsible for maintaining adequate funds (including gas) for workflow execution where gas is not sponsored; wallet addresses and transaction data recorded on public blockchains are permanent and cannot be deleted or modified; and NPC Labs does not provide custodial services, investment advice, or act as a financial intermediary.
5.2 Transaction Execution
Workflows may execute onchain transactions on your behalf, including token transfers, smart contract interactions, DeFi protocol operations, and cross-chain operations. NPC Labs does not charge any markup, spread, or additional fees on onchain transactions executed through workflows. You are solely responsible for: reviewing and approving all workflows before activation; ensuring adequate funds and gas for execution (except where gas is sponsored by NPC Labs); understanding the risks associated with the DeFi protocols and smart contracts your workflows interact with; and complying with all applicable laws and regulations in your jurisdiction.
5.3 Gas Sponsorship
For certain wallet types and transaction types, NPC Labs may sponsor gas fees through a paymaster service. Gas sponsorship is provided at NPC Labs' sole discretion and may be modified, limited, or discontinued at any time without notice. NPC Labs makes no guarantee regarding the availability, continuity, or amount of gas sponsorship. When gas is not sponsored, you are responsible for maintaining adequate native tokens for gas in your wallet.
5.4 Multi-Approval Workflows
Certain workflows may include multi-approval features that require authorization from designated team members before executing transactions. You and your organization are solely responsible for: configuring approval workflows correctly; designating authorized approvers and managing their access; verifying that approvals are genuine and authorized; and ensuring approval notification channels (e.g., Slack, email) are functioning and monitored. NPC Labs executes transactions based on approval signals received through configured channels and is not responsible for verifying the legitimacy, accuracy, or authorization of any approval. Failure or delay in the delivery of approval notifications due to third-party service outages does not create liability for NPC Labs.
5.5 Crypto-Specific Risks
YOU ACKNOWLEDGE AND ACCEPT THE FOLLOWING RISKS: blockchain transactions are irreversible once confirmed; smart contracts may contain bugs, vulnerabilities, or be subject to exploits; DeFi protocols may experience liquidity crises, hacks, or unexpected behavior; gas prices may fluctuate significantly, resulting in higher-than-expected transaction costs; network congestion, chain reorganizations, or bridge failures may cause transactions to fail or be delayed; token values may decrease, including to zero; regulatory changes may affect the legality or availability of certain blockchain operations in your jurisdiction; and B3OS cannot guarantee that any workflow will execute successfully or produce the expected outcome.
6. AI-Powered Features
B3OS includes AI-powered features, including the "Caddie" assistant, that can generate, modify, and suggest workflows based on natural language prompts.
B3OS processes Customer Data through AI models solely to provide the AI-powered features you use. NPC Labs does not use Customer Data to train or improve third-party foundational AI models. AI interaction data may be logged for quality assurance, debugging, and improving B3OS product features.
You acknowledge and agree that: AI-generated outputs are provided "as is" and may contain errors, inaccuracies, or produce unexpected results; you are solely responsible for reviewing all AI-generated workflows before activation, especially those involving financial transactions; AI-generated workflows that execute onchain transactions carry the same risks described in Section 5.5; NPC Labs is not liable for any losses or damages resulting from AI-generated workflows; and the AI may not have complete or current information about DeFi protocols, token economics, or market conditions.
7. Subscription Plans, Fees, and Payment
7.1 Plans and Pricing
The Services are offered under multiple subscription tiers (Free, Starter, Pro, Business, and Enterprise), each with defined limits on workflows, compute credits (CU), AI credits, users, and database tables. Current pricing is available at b3os.org/pricing.
Compute Credits (CU) are consumed when workflows execute actions, process data, or interact with blockchain networks. AI Credits are consumed when using AI-powered features. Credit consumption rates vary by action type and complexity. Current consumption rates are available in the documentation.
We reserve the right to modify pricing with 30 days' notice. Price changes take effect at the start of your next billing cycle.
7.2 Payment
Paid subscriptions are billed monthly in advance via Stripe (credit card) or AnySpend (cryptocurrency). All fees are stated in U.S. dollars. You are responsible for applicable taxes. Subscriptions automatically renew unless cancelled before the renewal date.
7.3 Refunds
All fees are non-refundable except as required by applicable law or as otherwise stated in these Terms. Unused compute credits and AI credits do not carry over between billing periods unless otherwise specified in your plan.
7.4 Overages and Suspension
If you exceed your plan's limits, workflows may be paused or throttled until you upgrade or the next billing cycle begins. We will make reasonable efforts to notify you before suspending active workflows.
8. Acceptable Use
You represent and warrant that you are not located in, organized under the laws of, or a resident of any country subject to comprehensive sanctions by OFAC, the EU, or UN Security Council. You are not a Specially Designated National or Blocked Person. You will not use the Services to transact with sanctioned persons, entities, or jurisdictions.
You agree not to use the Services to: violate any applicable law, regulation, or third-party rights; engage in money laundering, terrorist financing, sanctions evasion, or other financial crimes; execute transactions involving sanctioned persons, entities, or jurisdictions; create workflows designed to manipulate markets, front-run transactions, or exploit other users; distribute malware, conduct phishing attacks, or compromise the security of any system; interfere with or disrupt the Services or the experience of other users; reverse-engineer, decompile, or create derivative works from the Services; circumvent usage limits, access controls, rate limits, or security measures; use the Services to build a competing product or service; use the Services for any purpose that is fraudulent, deceptive, or harmful; or violate the terms of service, acceptable use policies, or rate limits of any connected Third-Party Service through the Services.
You are solely responsible for ensuring that your use of connected Third-Party Services through B3OS complies with those services' terms and conditions. NPC Labs is not responsible for monitoring your compliance with third-party terms. If a Third-Party Service provider notifies us that your use violates their terms, we may suspend the relevant integration without notice.
NPC Labs reserves the right to implement wallet screening, transaction monitoring, and other compliance measures at any time. We reserve the right to suspend or terminate your access for violations of this section, with or without notice, depending on the severity of the violation.
9. Intellectual Property
9.1 Our IP
NPC Labs retains all rights, title, and interest in the Services, including all software, technology, designs, trademarks, and documentation. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes in accordance with these Terms.
9.2 Your Content
You retain ownership of your workflow configurations, data, and content ("Customer Data"). You grant NPC Labs a limited license to use Customer Data solely to provide, maintain, and improve the Services as described in our Privacy Policy.
9.3 Feedback
If you provide suggestions, ideas, or feedback about the Services ("Feedback"), you grant NPC Labs a perpetual, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Services without obligation to you.
10. Customer Data and Privacy
We process Customer Data in accordance with our Privacy Policy. You represent and warrant that you have all necessary rights and consents to provide Customer Data and to authorize us to process it as contemplated by these Terms and the Privacy Policy.
You are responsible for the accuracy, legality, and appropriateness of all Customer Data, including data from connected third-party services.

11. Third-Party Integrations
The Services allow you to connect and interact with third-party applications, protocols, and blockchain networks ("Third-Party Services"). You acknowledge that: your use of Third-Party Services is governed by their respective terms and privacy policies; NPC Labs does not control and is not responsible for Third-Party Services; integration availability may change or be discontinued at any time; data shared with Third-Party Services is subject to their privacy practices; and NPC Labs is not liable for any loss or damage arising from your use of Third-Party Services.
You must have all necessary rights, licenses, permissions, and consents to connect Third-Party Services to B3OS and to process data through them. You shall indemnify NPC Labs for all claims, damages, and liabilities arising out of your use of any Third-Party Services through the Services.
Any exchange of data or interaction between you and a Third-Party Service provider is solely between you and that provider.
12. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. NPC LABS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, NPC LABS DOES NOT WARRANT THAT: the Services will be uninterrupted, error-free, or secure; any workflow will execute successfully or produce expected results; AI-generated outputs will be accurate, complete, or suitable for any purpose; blockchain transactions will be confirmed, timely, or reversible; third-party integrations will remain available or function as expected; or the Services will be compatible with any particular DeFi protocol, token, or blockchain network.
NPC LABS IS NOT A FINANCIAL INSTITUTION, BROKER-DEALER, INVESTMENT ADVISER, MONEY TRANSMITTER, OR CUSTODIAN. The Services are automation tools. Nothing in the Services constitutes financial, investment, tax, or legal advice. You should consult appropriate professionals before making financial decisions.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NPC LABS, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.
AGGREGATE LIABILITY CAP: Except for claims arising out of your breach of Section 5 (Wallet Services), your indemnification obligations under Section 14, or your violation of Section 8 (Acceptable Use), NPC Labs's total aggregate liability arising out of or related to these Terms or the Services shall not exceed the fees you paid to NPC Labs in the 12 months prior to the claim. For customers on the Free tier, NPC Labs's total aggregate liability shall not exceed $100.
CARVE-OUT EXCEPTIONS (Zero Liability): NPC Labs shall have zero liability for losses, damages, or costs arising from or related to: failed or incorrect workflow executions; loss of funds due to smart contract bugs, exploits, or unexpected behavior; gas costs incurred during workflow execution; unauthorized access to your account or wallets; AI-generated workflow errors; third-party service failures or data breaches; or blockchain network issues, including congestion, reorganizations, or forks.
THE FOREGOING LIMITATIONS APPLY EVEN IF NPC LABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
14. Indemnification
You agree to indemnify, defend, and hold harmless NPC Labs and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Services; your violation of these Terms; your violation of any applicable law or regulation; your Customer Data or workflow configurations; your use of Third-Party Services through B3OS; any transaction executed through your workflows; or any claim that your use of the Services infringes the rights of any third party.
15. Term and Termination
These Terms are effective until terminated. Either party may terminate: Free accounts: at any time, for any reason. Paid subscriptions: by providing notice before the next renewal date.
We may suspend or terminate your access immediately if: you breach these Terms; your use poses a security risk or may harm other users; you fail to pay fees when due; we are required to do so by law; or you engage in prohibited activities under Section 8.
Upon termination: your right to access the Services ceases immediately; any workflows currently in execution at the time of termination will be permitted to finish their current run, but no new runs will be initiated; we will make your Customer Data available for export for 30 days following termination; you should export your wallet private keys via Turnkey's client-side export feature during this 30-day period; after the 30-day export period, we may delete your data in accordance with our Privacy Policy; you remain responsible for any fees incurred prior to termination; and provisions that by their nature should survive termination will survive (including Sections 5.5, 9, 12, 13, 14, and 16).
16. Dispute Resolution
Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. The arbitration shall be conducted in San Francisco, California. Each party shall bear its own costs, and the prevailing party shall be entitled to recover reasonable attorneys' fees. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The arbitrator may consider onchain evidence, including transaction records, smart contract states, and blockchain data.
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any judicial proceedings not subject to arbitration shall be brought in the state or federal courts located in San Francisco County, California, and each party consents to the exclusive jurisdiction of such courts.
18. General Provisions
Force Majeure. Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, war, terrorism, pandemic, government actions, power or internet outages, blockchain network outages or congestion, smart contract protocol failures, and third-party service disruptions. For the avoidance of doubt, changes in gas prices, token values, or market conditions are not force majeure events.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Entire Agreement. These Terms, together with the Privacy Policy and any applicable order form, DPA, or plan details, constitute the entire agreement between you and NPC Labs regarding the Services.
Waiver. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
Notices. We may provide notices via email, in-app notifications, or by posting on the Services. You may provide notice to us at the contact information provided in Section 19.
Modifications. We may update these Terms from time to time. We will provide at least 30 days' notice of material changes. Your continued use of the Services after the effective date of any changes constitutes acceptance of the updated Terms. If you object to any changes, you may terminate your account before the changes take effect.
